2. Eligibility & Age Requirements

• Minimum Age: You must be at least 18 years of age to use the App.
• Representations: By creating an account or using the App, you represent and warrant that you meet this age requirement and have the full legal capacity to enter into these Terms. If you are under 18, you are strictly prohibited from using the App.

3. User Accounts & Security

• Account Creation: You may access certain features anonymously or register using an email address. You agree to provide accurate, current, and complete information where prompted.
• Account Security: You are responsible for maintaining the confidentiality of your device and login credentials. You are entirely responsible for all activities that occur under your account.
• Termination by You: You may delete your account and stop using the App at any time via in-app settings.

4. Subscriptions, In-App Purchases, and Billing

• Subscription Tiers & Free Trials: Unhooked offers free trial periods, recurring subscriptions (e.g., Monthly, Annual), and fixed-duration program access (e.g., 12-week Quit Program). The specific pricing, billing intervals, and trial durations presented to you at the point of purchase govern your transaction.
• Automatic Renewal: Unless explicitly stated otherwise, subscriptions with an opt-out free trial automatically convert to a paid subscription at the end of the trial period unless cancelled at least 24 hours prior to the trial expiration date. Recurring subscriptions renew automatically at the end of each billing cycle unless turned off in your platform account settings.
• App Store In-App Purchases: All purchases made through the App are processed via the Apple App Store (Apple Inc.) and are subject to Apple’s standard Media Services Terms and Conditions. GrundLayer LTD does not directly collect, store, or process your credit card or banking details.
• Cancellations & Refunds:
  • You must manage or cancel subscriptions directly within your Apple App Store / Apple ID account settings.
  • To the maximum extent permitted by law, refund requests for in-app purchases are handled exclusively by Apple according to their respective refund policies.
• Statutory Cooling-Off Period (UK/EU Consumers): If you are a consumer in the UK or EEA, you acknowledge that by purchasing digital content and requesting immediate access, you consent to the immediate performance of the contract and acknowledge that you lose your statutory 14-day right of withdrawal (cooling-off period) once access to the digital content begins.

5. B2B Employer Wellness Programs

• If you obtain access to the App through an employer-sponsored benefit or corporate enrollment code, your access is subsidised by your employer.
• Your employer is provided with anonymised, aggregated engagement and program completion metrics only. Your employer receives no access to your private craving logs, trigger entries, or individual journal responses.
• GrundLayer LTD reserves the right to terminate employer-sponsored access if the commercial agreement between GrundLayer LTD and your employer expires or terminates.

6. Intellectual Property Rights

• Company IP: All software, design systems, graphics, wave animations, CBT modules, user interfaces, source code, text, audio lessons, and trademarks associated with Unhooked are the exclusive intellectual property of GrundLayer LTD and its licensors.
• Limited License: Subject to these Terms, GrundLayer LTD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your personal, non-commercial use on compatible devices you own or control.
• Prohibited Actions: You agree that you will not:
  • Copy, modify, decompile, reverse-engineer, or disassemble any part of the App.
  • Rent, lease, loan, sell, sublicense, or distribute the App or its CBT materials.
  • Circumvent, bypass, or disable any digital rights management or security measures in the App.

7. Third-Party Links & Affiliate Recommendations

• The App may display educational guides or recommendations regarding Nicotine Replacement Therapy (NRT) products (e.g., nicotine patches, gum).
• Affiliate Disclosure: Some links to third-party merchant products may be affiliate links, meaning GrundLayer LTD may earn a commercial commission on qualifying purchases made through those links at no extra cost to you.
• No Third-Party Endorsement: GrundLayer LTD does not manufacture, sell, warrant, or guarantee any third-party NRT products or third-party websites. Your interactions with third-party vendors are strictly between you and that vendor.

8. Acceptable Use Policy

You agree not to use the App to:

• Violate any applicable local, national, or international law or regulation.
• Attempt to gain unauthorised access to our servers, databases, or systems.
• Interfere with the normal operation, security, or network performance of the App.
• Introduce viruses, trojans, worms, or other malicious or technologically harmful code.

9. Disclaimer of Warranties

• To the maximum extent permitted by applicable law, the App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, statutory, or otherwise.
• GrundLayer LTD expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• We do not warrant that:
  • The App will meet your specific health or cessation outcomes.
  • Operation of the App will be uninterrupted, error-free, or entirely secure.
  • Any defect or bug will be corrected immediately.

10. Limitation of Liability

• To the maximum extent permitted by law, GrundLayer LTD, its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, personal injury, emotional distress, or other intangible losses resulting from:
  • Your access to, use of, or inability to access or use the App.
  • Any conduct or content of any third party on the App.
  • Unauthorised access, use, or alteration of your transmissions or data.
• In no event shall GrundLayer LTD’s total aggregate liability for all claims arising out of or related to these Terms or the App exceed the greater of:
  • The total amount paid by you to GrundLayer LTD for the App in the twelve (12) months preceding the claim, or
  • Fifty British Pounds (£50.00 GBP).
• Statutory Rights: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under English law.

11. Indemnification

You agree to defend, indemnify, and hold harmless GrundLayer LTD, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms or your unlawful use of the App.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at our sole discretion. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect via an in-app alert or notification. Your continued use of the App following the effective date of revised Terms constitutes your acceptance of the changes.

14. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and GrundLayer LTD regarding the App.
